1. What these terms cover

These Terms of Service ("Terms") govern your use of Markout — a Chrome extension and accompanying web application operated by 007 Technologies LLC ("we," "us," "007 Technologies"). By installing the extension, creating an account, or using the Markout web app, you agree to these Terms. If you don't agree, don't use Markout.

2. What Markout is

Markout watches commercial real estate listings on Crexi and LoopNet from your own logged-in browser session and notifies you of changes — price drops, status changes, off-market signals, and similar. Markout is currently in a public beta. Features, availability, pricing, and these Terms may change as the product develops.

2a. Not affiliated with Crexi, LoopNet, or any brokerage

Markout is an independent product. It is not affiliated with, endorsed by, sponsored by, or operated in cooperation with Crexi, LoopNet, CoStar Group, Marcus & Millichap, Matthews Real Estate Investment Services, any other brokerage firm, or any other commercial real estate platform. "Crexi" and "LoopNet" are trademarks of their respective owners and are referenced only to describe the platforms Markout helps you monitor.

3. Eligibility & accounts

You must be at least 18 years old and using Markout for legitimate commercial real estate purposes. You are responsible for activity that occurs under your account and for keeping access to your email inbox secure, since Markout uses email- based sign-in. Notify us promptly if you believe your account has been accessed without your authorization.

Markout extracts listing data from pages you personally open in your own browser. It does not log in to Crexi or LoopNet on your behalf, does not crawl, and does not make automated server-side requests to those platforms. You are responsible for ensuring your own use of Crexi, LoopNet, and any other site remains consistent with those sites' own terms.

6. No warranty — important

Markout is provided "as is" and "as available," without warranty of any kind. Markout depends on the structure of third-party websites that can change without notice. We do not warrant that Markout will detect every change to every listing, that notifications will be timely or delivered, that data extracted will be accurate or complete, or that the service will be uninterrupted or error-free.

Markout is an informational tool, not a substitute for professional diligence. Do not rely on Markout as your sole source of information for any transaction or decision. Always verify listing details directly with the listing source and the responsible broker.

7. Limitation of liability

To the fullest extent permitted by law, 007 Technologies LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, deals, opportunities, revenue, or data, arising out of or related to your use of (or inability to use) Markout — including, without limitation, a change to a listing that Markout failed to detect or notify you about. Our total aggregate liability for any claim relating to Markout will not exceed the greater of (a) the amount you paid us for the service in the twelve months before the claim, or (b) one hundred US dollars (USD $100).

8. Cost

Markout is currently free during public beta. We may introduce paid plans in the future; if we do, we'll give you advance written notice (by email or in-product) before any charge applies to you, and continued use of paid features will be subject to the pricing in effect at that time. You will always be able to stop using Markout instead of accepting a price change.

8a. Intellectual property & trademarks

007 Technologies LLC retains all right, title, and interest in the Markout extension, the Markout web app, the Markout backend, the "Markout" name, the Markout logo, all related branding, the morning-report format, and every other element of the service, including all source code, designs, documentation, copy, and compilations of data we produce. "Markout" is a trademark of 007 Technologies LLC. No license to use the Markout marks is granted to you except as strictly necessary to refer to the service while using it as intended.

Any feedback, suggestions, or ideas you send us about Markout may be used by us without restriction or compensation to you, but we will not publicly attribute feedback to you by name without your consent.

9. Privacy

Your use of Markout is also governed by our Privacy Policy, which explains what we collect and how we handle it.

10. Suspension & termination

You may stop using Markout at any time by uninstalling the extension and, if you wish, requesting deletion of your account data. We may suspend or terminate access for any account that violates these Terms or that we reasonably believe poses a risk to the service or to other users. Sections 6, 7, and 11 survive termination.

11. Changes & governing law

We may update these Terms as Markout develops; the "Effective" date at the top is authoritative, and material changes will be communicated to account holders. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

11a. Dispute resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or Markout will be resolved exclusively by binding, individual (non-class) arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Travis County, Texas, or remotely at your option. Either party may seek injunctive relief in court for misuse or infringement of intellectual property. You and 007 Technologies waive any right to a jury trial or to participate in a class action.
